Terms of Sale for Yard Sign Emporium

These Terms of Sale (“Agreement”) govern all purchases made through the website https://www.yardsignemporium.com (“Website”) operated by Yard Sign Emporium, LLC (“YSE,” “we,” “us,” or “our”). By clicking “PLACE ORDER NOW” or completing a purchase, you (“Customer,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms of Sale and our Terms of Service, which are hereby incorporated by reference.

In the event of any conflict between these Terms of Sale and the Terms of Service, the Terms of Service shall govern.

1. Eligibility and Agreement to Terms

You must be at least 18 years old and legally capable of entering into binding contracts to purchase from Yard Sign Emporium. By placing an order, you represent and warrant that you meet these requirements and agree to abide by these Terms of Sale.

2. Ownership and Responsibility for Content (“Realm of Control”)

YSE provides an online platform where customers design and order custom yard signs and related products. You are solely responsible for the content of your submitted designs, including images, graphics, logos, fonts, colors, text, spelling, punctuation, grammar, sizing, positioning, and alignment (“Realm of Control”).

YSE does not review, monitor, edit, or approve designs before production. By submitting your design, you affirm that:

• You have full rights to all content used
• Your design complies with all applicable laws and does not infringe on any third-party rights
• The final product will reflect your submitted design exactly as displayed during your checkout process

Any content deemed to violate law, ethics, or our Terms of Service (e.g., hate speech, libel, harassment, obscenity, intellectual property violations) may result in order cancellation without refund.

3. Materials and Intended Use

YSE offers signs made from various materials, including but not limited to:

• Corrugated plastic (coroplast)
• Aluminum (standard and reflective)
• High-density PVC or foam board (in limited products)

Each material has distinct characteristics (e.g., weight, durability, flexibility), which are clearly described on the product page. It is your responsibility to ensure that the material meets your needs. YSE makes no warranty as to a product’s legal compliance for specific uses such as election signage, zoning requirements, or municipal codes.

All YSE products are sold for general and promotional use. No product is guaranteed to be compliant with regulatory signage standards unless expressly stated in writing.

4. Color Matching and Print Output Disclaimer

Due to variances in screen settings (brightness, contrast, calibration) and differing color systems (RGB for screens, CMYK or Pantone for print), colors on your device may not exactly match printed output.

YSE makes reasonable efforts to provide accurate color representation but cannot guarantee exact matching. We are not liable for color variations between on-screen previews and final printed products unless a Pantone Color Match service was purchased and confirmed in writing.

5. Image Uploads and Quality Standards

If you upload images, artwork, or logos to YSE:

• You warrant that you hold the necessary rights or licenses to use the image
• You acknowledge that image quality depends on resolution (DPI), scaling, compression artifacts, and original format
• You are solely responsible for ensuring your image appears at the desired quality at the selected print size

YSE will not enhance, edit, or modify uploaded files beyond basic scaling. Poor image quality resulting in blurry or pixelated prints is not grounds for refund.

6. Use of Clip Art and Templates

YSE provides royalty-free clip art, icons, and design templates to assist customers. These assets are provided “as-is” for non-exclusive, non-commercial use. YSE does not guarantee the accuracy, appropriateness, or official recognition of any clip art or symbol used (e.g., flags, religious icons, political symbols, licensed characters).

7. Order Review and Finalization

You have the opportunity to review your design during multiple steps of the ordering process. By placing an order, you confirm:

• You have reviewed all content and design details
• You accept the print layout and visual appearance of your product
• No further edits, modifications, or cancellations are needed

Once submitted, orders enter immediate production and cannot be modified. YSE is under no obligation to revise, correct, or cancel your order post-submission.

8. Production Times and Shipping

Production Timeline

Standard production time is 5 business days (excluding weekends and holidays) for most orders placed before 3:00 PM Western Time. Orders placed after this time or requiring special services (rush production, custom finishing) may require additional processing time.

Shipping Terms

YSE uses third-party carriers (e.g., FedEx, UPS) for shipping. Title to goods and risk of loss passes to you upon YSE’s delivery of the order to the carrier. YSE is not liable for delays caused by carriers, weather, customs, or force majeure.

Alterations for Large Boards:
To minimize shipping costs, we may fold, slit, or crease oversized signs (e.g., 4’x8′) to fit within ground shipping constraints. If you object, notify us within 24 hours of order placement. Additional freight charges will apply.

9. Return, Refund, and Reprint Policy

YSE guarantees that products are free from manufacturing defects for 90 days from delivery.

Eligible Claims Include:

• Physical damage due to defective material or workmanship
• Print alignment or cutting issues caused by YSE
• Packaging errors (wrong size, material, or quantity)

Exclusions Include:

• Errors originating from your uploaded files or design choices
• Misuse, mishandling, exposure to elements, or wear and tear
• Color variation or image quality not caused by production error

To request a refund or reprint:

1. Submit a written request within 90 days to yardsignemporium@gmail.com
2. Include photos of the issue and your order number
3. YSE may request product return for inspection before resolving the claim

Resolution Options: Refund to original payment, store credit, or exact reprint (at our discretion).

10. Pricing, Taxes, and Payment

All prices are listed in U.S. dollars and are subject to change without notice. Applicable taxes (sales tax, VAT) will be added based on your shipping address and prevailing laws.

YSE accepts major credit/debit cards and secure third-party payment providers. You authorize YSE to charge your selected payment method at the time of purchase. YSE does not store full credit card data on its servers.

11. Intellectual Property & License

By uploading content, you grant YSE a non-exclusive, royalty-free, fully paid-up, worldwide license to reproduce, print, and use such content solely for the purpose of fulfilling your order. You retain all rights in your original designs.

You may not use YSE’s trademarks, logo, or branding without prior written consent.

12. Limitation of Liability

To the maximum extent permitted by law:

• YSE’s liability for any claim shall not exceed the purchase price of the product
• YSE shall not be liable for indirect, incidental, consequential, or punitive damages
• All products are provided “as-is” with no additional warranties except as stated herein

Some jurisdictions do not allow certain limitations, so these exclusions may not apply to you.

13. Dispute Resolution and Arbitration

All disputes related to your purchase from YSE shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

• Venue: The arbitration shall take place in California, unless otherwise agreed in writing by both parties.
• Language: English
• Law: These Terms of Sale shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law provisions.

You waive the right to bring a claim in court or to participate in a class action lawsuit. Claims must be brought on an individual basis.

Notwithstanding the above, YSE reserves the right to seek injunctive or equitable relief in any competent court to prevent unauthorized use of intellectual property or confidential information.

14. Order Cancellation by YSE

YSE reserves the right to cancel any order at its sole discretion for reasons including but not limited to:

• Suspected fraud
• Violation of Terms of Sale or Terms of Service
• Obscene, illegal, or offensive content
• Failure to verify payment

In such cases, YSE will refund the purchase amount (less any production costs incurred) within 90 days.

15. Changes to These Terms

YSE may modify these Terms of Sale at any time. The version posted at the time of your purchase governs that transaction. Continued use of the Website after any changes constitutes acceptance of the new terms.
